Why they said they were late

V eritone, Inc. (the “Company”) was unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the “Form 10-K”) with the Securities and Exchange Commission (the “SEC”) within the prescribed time period primarily due to delays in finalizing the Company’s accounting determination of certain barter revenue transactions under ASC 606, which include (1) a non-monetary transaction in which the Company sold an on-premise software license in exchange for certain intangible rights with a contracted price of $13.0 million during the fourth quarter of fiscal year 2025 and (2) the estimated fair value associated with an on-premise software sale in the fiscal year ended December 31, 2025. The Company's ongoing accounting analysis of the estimated fair value associated with an on-premise software sale in the fiscal year ended December 31, 2025 may result in out-of-period adjustments, the largest of which may result in a reduction in revenue for the quarter ended September 30, 2025 of $1.5 million to $2.5 million, or 5.2% to 8.6%, of the total $29.1 million of revenue previously reported for such quarter. Management is evaluating the overall impact of the possible out-of-period adjustments and whether the previously issued financial statements for the quarters ended June 30, 2025 and September 30, 2025 may need to be revised or restated. Given the accounting complexity associated with these revenue transactions, the finalization of the accounting determination of the estimated fair value of these revenue transactions under ASC 606 has resulted in delays in the preparation of the Company’s consolidated financial statements for the fiscal year ended December 31, 2025 and, as a result, a delay in the filing of the Form 10-K

Veritone, Inc. (the “Company”) was unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 (the “Form 10-K”) with the Securities and Exchange Commission (the “SEC”) within the prescribed time period primarily due to delays in finalizing the presentation of discontinued operations for Veritone One, LLC, a wholly-owned subsidiary of the Company (“Veritone One”). On October 17, 2024, the Company sold all outstanding equity of Veritone One to Oxford Buyer, LLC (“Purchaser”), an affiliate of Insignia Capital Group L.P. (such transaction, the “Divestiture”), which Divestiture was previously disclosed in the Current Report on Form 8-K filed by the Company with the SEC on October 23, 2024. The Company determined that the Divestiture represented a strategic shift that will have a material effect on the Company’s operations and financial results. Therefore, the historical financial results of Veritone One will be reflected in the Company’s condensed consolidated financial statements as discontinued operations and, as such, will be excluded from continuing operations for all periods presented on a retrospective basis. Such revised presentation has resulted in delays in the preparation of the Company’s consolidated financial statements for the fiscal year ended December 31, 2024 (the “2024 Financial Statements”) and, as a result, a delay in the filing of the Form 10-K. The Company expects to file the Form 10-K as soon as possible, but by no later than the fifteenth calendar day following the prescribed due date, as provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Company does not expect the financial results included in the Form 10-K, when filed, to reflect any material changes from the financial information included in the press release issued by the Company on March 13, 2025 (the “Press Release”)

(the “Company”) is filing this Notification of Late Filing on Form 12b-25 (this “Notification”) with respect to its Form 10-Q as of and for the three months ended June 30, 2024 (the “Form 10-Q”). The Company has determined that it is unable to file its Form 10-Q within the prescribed time period without unreasonable effort or expense principally due to the identification of an impairment indicator with respect to goodwill and long-lived assets as of June 30, 2024, which requires additional procedures to perform an impairment analyses as required under U.S. GAAP. These analyses require significant resources from the Company’s financial, accounting and administrative personnel and, as a result, the Company requires additional time to complete its quarterly review. The Company does not expect that the impact of these analyses will result in any adjustments to its financial statements, which, if adjustments were required, would be limited to non-cash amortization expense, loss from operations, net loss and net loss per share for the quarter ended June 30, 2024. The Company expects to file its Quarterly Report on Form 10-Q by Wednesday, August 14, 2024, which is within the five-calendar day extension provided by Rule 12b-25. Cautionary Note Regarding Forward-Looking Statements This Form 12b-25 contains certain forward-looking statements within the meaning of Section 27A of the Securities Act of 1933, as amended (the “Securities Act”) and Section 21E of the Exchange Act, and such forward-looking statements are intended to be subject to the safe harbors created thereby. (the “Company”) was unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”) with the Securities and Exchange Commission (the “SEC”) within the prescribed time period without unreasonable effort or expense. In June 2023, the Company acquired (i) all of the issued and outstanding share capital of (a) Broadbean Technology Pty Ltd ACN 116 011 959 / ABN 79 116 011 959, a limited company incorporated under the laws of Australia, (b) Broadbean Technology Limited, a limited company incorporated under the laws of England and Wales, (c) Broadbean, Inc., a Delaware corporation, and (d) CareerBuilder France S.A.R.L., a limited liability company organized ( société à responsabilité limitée ) under the laws of France, and (ii) certain assets and liabilities related to the Broadbean Business (the foregoing clauses (i) and (ii) together, “Broadbean”). The acquisition of Broadbean expanded the Company’s operations internationally in Europe, Australia and India. As part of the integration of Broadbean, a number of new processes and systems were implemented, and new personnel were onboarded into the Company’s accounting and financial reporting group domestically and overseas. The new personnel required training, and control processes had to be transferred to new process owners. This transition has resulted in a delay in filing the Form 10-K. The Company expects to file the Form 10-K as soon as possible, but by no later than the fifteenth calendar day following the prescribed due date, as provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Company does not expect the financial results to be included in the Form 10-K when filed to reflect any material changes from the financial information included in the press release issued by the Company on March 12, 2024 (the “Press Release”)
