Why they said they were late

On March 14, 2024, Urban One, Inc. (the “Registrant” or “Company”) has determined that it is unable to file with the Securities and Exchange Commission (the “SEC”) its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”), within the prescribed time period without unreasonable effort or expense due to the reasons described below. The Company is continuing to work diligently to file its Form 10-K as soon as possible and expects to be in a position to file the Form 10-K by May 31, 2024. Additional time is needed for the Company to compile and analyze supporting documentation in order to complete the Form 10-K and in order to permit the Company’s independent registered public accounting firm to complete its audits of the consolidated financial statements and internal control over financial reporting included in the Form 10-K. The Company expects its auditor will issue an unqualified opinion on the consolidated financial statements. The Company has identified material weaknesses in the Company’s internal control over financial reporting and as a result, expects some of its internal controls over financial reporting and disclosure controls will be ineffective as of December 31, 2023. The Annual Report on Form 10-K for the year ended December 31, 2023 will describe these material weaknesses, and the Company is implementing plans to remediate them. The Company does not anticipate any changes to its previously audited financial statements, nor does the Company expect to report financial results for the fourth quarter and full year ended December 31, 2023 that are materially different from the financial guidance range previously provided by the Company during its third quarter earnings call

ed time period. On April 7, 2023, Urban One, Inc. (the “Company”) announced that in connection with the preparation of its financial statements for the year ended December 31, 2022, the Company’s management, in consultation with its independent registered public accounting firm, re-evaluated the Company’s accounting for the valuation of its investment interest in MGM National Harbor (the “MGM Interest”), which the Company sold for cash proceeds of approximately $136.8 million on April 21, 2023. After further review of the Company’s accounting for its MGM Interest, it was determined that adjustments were required to the Company’s financial statements as of January 1, 2021 and for each of the annual and interim periods ended December 31, 2021 and September 30, 2022 (the “Affected Periods”), due to understatements in the value of the MGM Interest. Therefore, on April 7, 2023, the Company’s management and the audit committee of the Company’s board of directors (the “Audit Committee”) concluded that the Company’s previously issued financial statements for each of the annual and interim periods ended December 31, 2021 and September 30, 2022, should be restated to accurately state the increased value of the MGM Interest. As such, the Company announced it would restate its financial statements for the Affected Periods (the “Restatement”) in the Company’s 2022 Form 10-K (“2022 Form 10-K”). The Company’s management concluded that in light of the error described above, a material weakness exists in the Company’s internal control over financial reporting for the Affected Periods. The Company’s remediation plan with respect to such material weakness was described in greater detail in the 2022 Form 10-K filed on June 30, 2023

ed time period. As previously disclosed on its Current Report on Form 8-K filed August 9, 2022 (the “August 2022 Current Report”), on August 8, 2022, Urban One, Inc. (the “Company”), as part of the preparation of the Company’s June 30, 2022 interim financial statements, determined that there was an error in certain third party reports and assumptions used in the valuation of its radio broadcasting licenses and goodwill. While the Company has reported its results of operations for the period ended June 30, 2022 on the August 2022 Current Report, the Company expended significant additional time and resources in resolving this issue. Due to this additional effort, the Company was unable to complete this process and file its Form 10-Q for the quarter ended June 30, 2022 on or before the prescribed due date of August 9, 2022. The Company anticipates filing the Form 10-Q for the period ending June 30, 2022 by the extended deadline of August 15, 2022 (the five day extension would fall on Sunday August 14, 2022, a day on which the Securities and Exchange Commission (the “SEC”) is closed, thus, the extended deadline becomes August 15, 2022, the next business day that the SEC is open).

About this score
