SRM Entertainment, Inc. (the “ Registrant ”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2023 (the “ Quarterly Report ”) with the U.S. Securities Exchange Commission (the “ SEC ”) by the prescribed due date. Under Rule 13a-13(a) of the Securities Exchange Act of 1934, after a registrant’s first registration statement becomes effective, the registrant must file its first quarterly report by the later of either 45 days after the effective date or the date the quarterly report would otherwise be due. The Company’s registration statement on Form S-1 for its initial public offering was declared effective on August 14, 2023, such that the prescribed due date for the Quarterly Report was on September 28, 2023. However, due to a delay experienced by the Registrant in completing its financial statements and other disclosures in the Quarterly Report, the Registrant is still in the process of compiling required information to complete the Quarterly Report and its independent registered public accounting firm requires additional time to complete its review of the financial statements for the period ended June 30, 2023 to be incorporated in the Annual Report. The Registrant anticipates that it will file the Annual Report no later than the fifth calendar day following the prescribed filing date, October 3, 2023
