Why they said they were late

Repligen Corporation (the “Company”) has determined that it will not be able to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 (the “2024 Form 10-K”) within the prescribed time period for such filing without unreasonable effort or expense. The Company has dedicated significant resources to completing the 2024 Form 10-K and is working to complete the necessary procedures to file the 2024 Form 10-K as soon as practicable. The Company requires additional time to complete the procedures relating to its year-end reporting process, including the completion of the audit of the Company’s financial statements by the Company’s independent auditors for inclusion in the 2024 Form 10-K. The Company expects to file the 2024 Form 10-K within the extension period provided under Rule 12b-25 under the Securities Exchange Act of 1934, as amended. The Company does not expect the financial results in the 2024 Form 10-K to differ from the financial results for the quarter and full year ended December 31, 2024 set forth in the Company’s press release dated February 20, 2025, which is filed as an exhibit to the Company’s Form 8-K furnished with the Commission on February 20, 2025 (the “2024 Earnings Release”)

2024-11-12filed late (10-Q)material weakness SEC →

REPLIGEN CORPORATION, (the “Company”), is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2024 (the “Q3 Form 10-Q”) with the Securities and Exchange Commission (the “SEC”) within the prescribed time period for the reasons set forth below. As previously disclosed in the Company’s Current Report on Form 8-K filed with the SEC on September 18, 2024, the Company is in the process of restating its financial statements and related disclosures for (i) the year ended December 31, 2023 (the “Annual Report”), (ii) each of the quarterly and year-to-date periods for 2023 (the “2023 Quarterly Reports”), and (iii) the quarterly and year-to-date periods ended March 31 and June 30, 2024 (the “2024 Quarterly Reports,” together with the Annual Report and the 2023 Quarterly Reports, the “Prior Period Financial Statements”). The restatement is expected to result in one or more material weaknesses in the Company’s internal control over financial reporting during the Restatement Periods. A full assessment of the Company’s internal control over financial reporting will be included in the Annual Report. To prepare and file its Q3 Form 10-Q, the Company must first complete amendments to each of the periodic reports related to the Prior Period Financial Statements. Although the Company has dedicated significant resources to completing the restatement, the process is not yet complete due to the significant scope of the process to prepare the restated financial statements and related disclosures. As a result, the Company is not able to file its Q3 Form 10-Q by the due date of November 12, 2024 without unreasonable effort or expense, but is committed to its completion as soon as possible

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
