Prospect Capital Corporation (the “ Company ”) is unable to file its Annual Report on Form 10-K for the fiscal year ended June 30, 2022 (the “ 2022 Form 10-K ”) within the prescribed time period without unreasonable effort or expense primarily because the Company requires additional time to complete its assessment of the effectiveness of its internal control over financial reporting and the Company’s independent registered accounting firm requires additional time to complete its audit of the Company’s internal control over financial reporting. Management is in the process of performing an assessment of the effectiveness of the Company’s internal control over financial reporting as of June 30, 2022, based upon criteria in Internal Control—Integrated Framework (2013) issued by the Committee of Sponsoring Organizations of the Treadway Commission (“COSO”). Although the assessment is not yet complete, we expect to report a material weakness in our internal control over financial reporting relating to the operation of management review controls over the valuation of collateralized loan obligations (“CLOs”), including management’s review procedures over the completeness and accuracy of the underlying data used in performing those review procedures. Additionally, we expect to report a material weakness relating to our control environment and monitoring activities; specifically, with respect to evaluating internal control deficiencies in a timely manner. As a result of the foregoing, the Company needs additional time to finalize its financial statements and related disclosures to be filed as part of the 2022 Form 10-K. The Company expects to file its 2022 Form 10-K within the extension period of 15 calendar days as provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended
