Why they said they were late

Peoples Financial Services Corp. (the “Registrant”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Annual Report on Form 10-K for the year ended December 31, 2024 (the “Form 10-K”). As previously reported, on July 1, 2024, the Registrant completed its merger with FNCB Bancorp, Inc., a Pennsylvania corporation (the “FNCB merger”). The system integration associated with the FNCB merger was completed in the fourth quarter of 2024. The Form 10-K could not be filed within the prescribed time period without unreasonable effort or expense because the Registrant requires additional time to complete its consolidated financial statements and work processes due to additional audit procedures required as a result of the FNCB merger. The Registrant is diligently working to file the Form 10-K as soon as reasonably practicable on or before the fifteenth calendar day following the prescribed due date for the Form 10-K

As previously disclosed in its current report on Form 8-K filed with the U.S. Securities and Exchange Commission on July 1, 2024 (the “Closing Date”), Peoples Financial Services Corp. (the “Registrant”) completed its merger with FNCB Bancorp, Inc., a Pennsylvania corporation (“FNCB”), pursuant to the Agreement and Plan of Merger dated September 27, 2023 between the Registrant and FNCB (the “Merger Agreement”). Pursuant to the Merger Agreement, on the Closing Date, FNCB merged with and into the Registrant, with the Registrant continuing as the surviving corporation (the “Merger”), and immediately following the Merger, FNCB Bank, a Pennsylvania-chartered bank (“FNCB Bank”), merged with and into Peoples Security Bank and Trust Company, a Pennsylvania-chartered bank and trust company and a wholly owned subsidiary of the Registrant (“Peoples Bank”), with Peoples Bank as the surviving bank (the “Bank Merger”). The Registrant was unable to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2024 (the “Quarterly Report”) on November 12, 2024 due to delays experienced in the preparation of its interim financial statements in accordance with U.S. generally accepted accounting principles resulting from the Merger and Bank Merger. The Registrant intends to file the Quarterly Report with the Securities and Exchange Commission within the five-day extension provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later.
