Why they said they were late

Ranpak Holdings Corp. (the “Company”) is filing this Notification of Late Filing on Form 12b-25 (this “Form 12b-25”) with respect to its Annual Report on Form 10-K for its fiscal year ended December 31, 2022 (the “2022 Annual Report”). The Company is unable to file the 2022 Annual Report within the prescribed time period without unreasonable effort or expense because the Company requires additional time to complete its financial statement preparation and review process and its assessment of its internal control over financial reporting. In particular, as a result of its work to date, the Company expects to disclose material weaknesses in its internal control over financial reporting at December 31, 2022 in its financial reporting processes. Consequently, management expects to conclude that its internal control over financial reporting and, as a result, its disclosure controls were not effective at December 31, 2022. As a result of the foregoing, the Company has not yet completed its year-end reporting procedures required for its independent registered accounting firm to complete its audit procedures. The Company expects to file its 2022 Annual Report within the 15 calendar day extension provided by Rule 12b-25

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
