Why they said they were late

The Registrant’s quarterly report on Form 10-Q for the period ending March 31, 2024 could not be filed by May 15, 2024 without unreasonable effort and expense because the Registrant recently engaged a new independent auditor. The recently engaged independent auditor was appointed on May 6, 2024 to replace B.F. Borgers PC, the Company’s previous auditor in direct response to the SEC’s order banning BF Borgers and informing client companies that they could not rely on the review of BF Borgers when filing quarterly, or other, reports. The new independent auditor requires the time from May 6, 2024 to May 20, 2024 to complete its review of the nine months ending March 31, 2024 to be relied upon when filing the Registrant’s 10Q. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Registrant will file its Form 10-Q on or before the fifth calendar day following the prescribed due date. SEC 1344 (04-09) Persons who are to respond to the collection of information contained in this form are not required to respond unless the form displays a currently valid OMB control number

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
