New Fortress Energy Inc. (the “Company”) is working diligently and plans to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the “Annual Report”) as soon as practicable. As reported in Item 4.02 of its Current Report on Form 8-K dated March 17, 2026 (the "Form 8-K"), the Audit Committee of the Board of Directors concluded that the Company's previously issued financial statements for the years ended December 31, 2024 and 2023 included in the Company's Annual Report on Form 10-K/A for the fiscal year ended December 31, 2024, filed on June 30, 2025, and each of the Company's previously issued financial statements included in its Quarterly Reports on Form 10-Q as of and for each of the interim periods in 2025 and 2024 should no longer be relied upon. As discussed in the Form 8-K, the Company requires additional time to complete a restatement of its historical financial statements related to the incorrect presentation of certain capital expenditures on its statements of cash flows. Additionally, certain errors were identified in the capitalization of interest, as well as other insignificant errors, that require restatement of the Company's 2025 interim financial statements. The Company continues to work diligently to complete the remaining review and restatement procedures. As a result, the Company has determined that it is unable, without unreasonable effort or expense, to file the Annual Report within the prescribed time period. The Company expects to file the Annual Report, including all required restated financial statements, no later than March 31, 2026 or as soon as practicable; however, the timing of the filing may be subject to further delay, and the Company cannot provide assurance regarding the definitive filing date while this work remains in progress

2025-11-12filed late (10-Q)liquidity SEC →

New Fortress Energy Inc. (the "Company," "we" or "our") is working diligently and plans to file its Quarterly Report on Form 10-Q for the three months ended September 30, 2025 (the "Quarterly Report") as soon as practicable. The Company believes it is necessary to file for an extension of the filing of the Quarterly Report to accurately reflect the outcome of significant ongoing negotiations related to amendments to institute covenant holidays with respect to financial covenants in certain debt agreements and a forbearance with respect to a scheduled payment of interest due November 17, 2025, on its New 2029 Notes that, if not granted, would require the Company to consider the impact of events of defaults in such debt agreements on the Company’s liquidity, which is likely to be material and adverse. The outcome of these agreements would also require the Company to consider the impact on the disclosures contained in the interim unaudited financial statements for the interim period ended September 30, 2025. As a result, the Company has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report within the prescribed time period. As previously disclosed, the Company has initiated a process to evaluate its strategic alternatives to improve its capital structure. It has retained Houlihan Lokey Capital, Inc. as financial advisor and Skadden, Arps, Slate, Meagher & Flom LLP as legal advisor to assist it in this evaluation. The Company, along with its advisors, is considering all options available, including asset sales, capital raising, debt amendments and refinancing transactions, and other strategic transactions that seek to provide additional liquidity and relief from acceleration under its debt agreements. As part of this process, the Company is engaging in discussions with various existing stakeholders and potential investors

New Fortress Energy Inc. (the “Company”) is working diligently and plans to file its Quarterly Report on Form 10-Q for the three months ended June 30, 2025 (the “Quarterly Report”) as soon as practicable. The Company believes it is appropriate to file for an extension of the filing of the Quarterly Report due to ongoing negotiations related to additional credit support that is required to be delivered under one of our debt instruments. The timing for any resolution of these discussions is uncertain and the resolution, or lack thereof, may change the financial statement presentation of our long-term debt and related disclosures in the Quarterly Report. In addition, the Company requires additional time to complete procedures related to the Company’s interim unaudited financial statements and permit the independent registered public accounting firm to complete its interim review. As a result, the Company has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report within the prescribed time period

2025-05-13filed late (10-Q)staff or resources SEC →

New Fortress Energy Inc. (the “Company”) is working diligently and plans to file its Quarterly Report on Form 10-Q for the three months ended March 31, 2025 (the “Quarterly Report”) as soon as practicable. The Company believes it is appropriate to file for an extension of the filing of the Quarterly Report due to a delay in completing the previously announced disposition of the Company’s business in Jamaica, which is expected to close in the near term, as well as the resignation of our Chief Accounting Officer effective April 29, 2025. The significant demands related to the disposition and the transition of responsibilities to our new Chief Accounting Officer have diverted time and resources from the Company’s normal process of preparing and reviewing both the financial and non-financial sections of the Quarterly Report. As a result, the Company has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report within the prescribed time period. The Company intends to file the Quarterly report within the five-day extension period
