Why they said they were late

Noble Corporation plc (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2022 (the “2022 Form 10-K”) within the prescribed time period without unreasonable effort or expense. The 2022 Form 10-K could not be filed by the prescribed due date because the Company requires additional time to complete certain analyses, documentation and additional procedures to compile and complete the necessary financial information for the first combined period following the completion of its previously announced business combination (the “Business Combination”) with The Drilling Company of 1972 A/S, a Danish public limited liability company (“Maersk Drilling”). The Company is not aware of any material inaccuracy in its previously reported results of operations for the period ended December 31, 2022. The Company intends to file the 2022 Form 10-K within the fifteen-day period provided under Rule 12b-25 no later than by March 16, 2023

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
