Midland States Bancorp, Inc. (the “ Company ”) is unable to file by the prescribed due date its Annual Report on Form 10-K for the period ended December 31, 2024 (the “ 2024 Annual Report ”) without unreasonable effort or expense, because the Company requires additional time and effort to finalize its evaluation of the accounting and financial reporting of a third party lending and servicing arrangement, including obtaining third party documentation and analysis.
