Why they said they were late

Mid Penn Bancorp, Inc. (the “Registrant”) is not able to file its annual report on Form 10-K (the “Form 10-K”) within the prescribed time period as the Registrant is still providing information and documentation to its auditors, RSM US, LLP (“RSM”) in connection with its audit procedures relating to the Registrant’s acquisition of Brunswick Bancorp during the year ended December 31, 2023. The Registrant does not believe these matters could have been completed by the prescribed filing date without unreasonable effort or expense. The Registrant is evaluating if a material weakness in the effectiveness of the Registrant’s internal controls over financial reporting related to its purchase accounting of the Brunswick Bancorp acquisition exists. This delay is not the result of any disagreements with RSM on any accounting matters, financial statement disclosures or auditing procedure. Although the Form 10-K is not complete, the Registrant expects that the financial statements in the Form 10-K will be materially consistent with the financial information furnished in the earnings release attached as Exhibit 99.1 to the Registrant’s Current Report on Form 8-K dated January 24, 2024 (the “Earnings Release”). The Registrant further expects that the results of its evaluation, which is still ongoing, will not have a material impact on the financial statements contained in its Quarterly Reports on Form 10-Q for the quarters ended March, 31, 2023, June 30, 2023 or September 30, 2023. The Registrant expects to file its Form 10-K no later than fifteen calendar days following the due date of the Form 10-K
