Why they said they were late

The Registrant is unable to file, without unreasonable effort and expense, its Form 10-Q Quarterly Report for the quarter ended March 31, 2023. Pursuant to our Form 8-K filed on April 17, 2023, we have engaged with a new independent registered public accounting firm and we are in the process of working with this firm on our 10-Q filing and management requires additional time to complete its review of the financial statements included in the filing. In connection with this process, we are working with the new independent registered public accounting firm and the prior independent registered public accounting firm to resolve an immaterial technical discussion between all parties before we can file the 10-Q. This discussion is not expected to impact the earnings statements. It is anticipated that the Form 10-Q Quarterly Report, along with the interim financial statements, will be filed on or before the 5th calendar day following the prescribed due date of the Registrant’s Form 10-Q

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
