Why they said they were late

As of March 31, 2023, Kaanapali Land, LLC (the “Company” or “we”) is unable to complete the filing of its Annual Report on Form 10-K (“Form 10-K”) for the year ended December 31, 2022 within the prescribed time without unreasonable effort or expense. The Company, with the assistance of external counsel, has been monitoring the closure of the D/C Distribution Corporation (“D/C”) bankruptcy case and the results of a court hearing held on March 29, 2023. As of March 31, 2023, there has been no determination on the closing of the bankruptcy case. Upon the resolution of the D/C bankruptcy by the court, the Company expects to reverse a related contingent liability as of the balance sheet date. This uncertainty has caused delays in the completion of the Company’s financial statements contained in the Form 10-K. While there can be no assurance, the Company does not expect this to have a material impact on the financial statements reported in prior periods. The Company expects to file its Form 10-K within the fifteen-day extension period provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended. This notice contains certain forward-looking statements (within the meaning of Section 27A of the Securities Act of 1933, as amended, and Section 21E of the Securities Exchange Act of 1934, as amended) and information relating to the Company that are based on the beliefs of the management of the Company. These forward looking statements include, without limitation, statements regarding the Company’s expectations that it will file the Form 10-K within the time period prescribed by Rule 12b-25. The Company undertakes no obligation to publicly update or revise any forward-looking statement, whether as a result of new information, future events or otherwise, except as required by law
