T Stamp Inc. (the “Registrant”) was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the period ended June 30, 2022 (the “Quarterly Report”) by the August 15, 2022 filing date applicable to smaller reporting companies. The delay in filing was due to the ongoing negotiations with respect to two significant transactions that, if executed or not executed, would have a material effect on the presentation of the financial statements and subsequent events in the Quarterly Report. As a result, as of August 15, 2022, the Registrant did not have all required information to complete the Quarterly Report and its independent registered public accounting firm required additional information related to liquidity and going concern considerations to complete its review of the financial statements for the period ended June 30, 2022 to be incorporated in the Quarterly Report. The Registrant anticipates that it will file the Quarterly Report no later than the fifth calendar day following the prescribed filing date not falling on a holiday or weekend, which would be August 22, 2022

Management requires the additional time to restate previously issued financial statements and to ensure the financial statements accurately present information based on Management’s conclusions described in the Form 8-K filed on March 14, 2022. Management anticipates the filing of its Quarterly Report within the five-day extension period provided
