The Registrant is unable to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2021 on a timely basis for the reasons described below. Upon review of “Staff Statement on Accounting and Reporting Considerations for Warrants Issued by Special Purpose Acquisition Companies” promulgated by the U.S. Securities and Exchange Commission on April 12, 2021, the Registrant’s management further evaluated the accounting treatment for its outstanding warrants and concluded that the Registrant is required to measure the fair value of the warrants at the end of each reporting period and recognize changes in the fair value from the prior period in the Registrant’s operating results for the current period and will revise its financial statements accordingly. The Registrant’s Form 10-Q will reflect the accounting for the Registrant’s warrants as a liability for the quarter ended March 31, 2021. As a result of the above, on May 17, 2021, the Registrant filed a Current Report on Form 8-K announcing that the Audit Committee, based on the recommendation of and after consultation with the Registrant’s management, concluded that its audited financial statements as of and for the year ended December 31, 2020, as reported in the Registrant’s Annual Report on Form 10-K filed on March 30, 2021, should no longer be relied upon. The Registrant is working diligently to complete its Form 10-Q as soon as possible; however, given the scope of the process for determining the appropriate treatment of the warrants in accordance with the SEC’s statement, the Registrant is unable to complete and file its Form 10-Q by the required due date of May 17, 2021 without unreasonable effort and expense. The Registrant anticipates that it will file its Form 10-Q within the five-day grace period provided by Exchange Act Rule 12b-25
