Why they said they were late

Journey Medical Corporation (the “ Company ”) is unable to file its Quarterly Report on Form 10-Q (the “ Form 10-Q ”) for the period ended March 31, 2023 within the prescribed time period without unreasonable effort and expense to the Company. On May 16, 2023, the Company and East West Bank (“ EWB ”) entered into an amendment (the “ Amendment ”) to the terms of the Company’s existing revolving line of credit and term loan with EWB (the “ EWB Facility ”). The Company needs additional time to assess the finalization impact of the Amendment on its financial statements to be issued with the Form 10-Q, including to prepare appropriate disclosures, and reach a conclusion with respect to whether, after giving effect to the Amendment, there are conditions or events, considered in the aggregate, that cause substantial doubt to exist about the Company’s ability to continue as a going concern as of the date of issuance of the Company’s financial statements to be included in the Form 10-Q. The Company continues to explore other financing arrangements that would provide additional liquidity to fund the Company’s operations for the next twelve months. The Company will file the Form 10-Q within the 5-day extension period provided by Rule 12b-25

About this score
