Why they said they were late

Clarivate Plc (the “Company”) is filing this Notification of Late Filing on Form 12b-25 with respect to its Annual Report on Form 10-K for its fiscal year ended December 31, 2021 (the “Annual Report”). As disclosed in the Company’s Current Report on Form 8-K filed on December 27, 2021, the Company concluded that the financial statements previously issued as of and for the year ended December 31, 2020, and the quarterly periods ended March 31, 2021, June 30, 2021, and September 30, 2021, should no longer be relied upon because of an error in such financial statements, as addressed in FASB ASC Topic 250, Accounting Changes and Error Corrections. The Company filed the required restated financial statements on February 3, 2022, which utilized significant resources normally devoted to the year-end close process, and it requires additional time to prepare the financial statements included in its Annual Report. Accordingly, the Company has determined that it will not be able to file the Annual Report by the March 1, 2022 filing due date without incurring unreasonable effort and expense. The Company believes that it will file the Annual Report on or before the fifteenth calendar day following the March 1, 2022 due date

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
