Why they said they were late

Brookfield Asset Management Ltd. (the “Company”) is incorporated in British Columbia, Canada, and qualifies as an eligible Canadian issuer under the Multijurisdictional Disclosure System and as a “foreign private issuer” as such term is defined in Rule 405 under the U.S. Securities Act of 1933, as amended, and Rule 3b-4 under the U.S. Securities Exchange Act of 1934, as amended. Although, as a foreign private issuer, the Company is not required to do so, the Company intends to voluntarily file annual reports on Form 10-K (beginning with the Company’s annual report for the year ended December 31, 2024), quarterly reports on Form 10-Q and current reports on Form 8-K with the Securities and Exchange Commission instead of filing the reporting forms available to foreign private issuers. The Company is unable to file, without unreasonable effort or expense, its Form 10-K for the year ended December 31, 2024 (the “2024 10-K”) within the prescribed time period. The 2024 10-K represents the Company’s first annual report on such form, and additional time is needed for the Company to compile and analyze supporting documentation in order to complete the 2024 10-K. The Company anticipates that it will file the 2024 10-K within the fifteen-day grace period provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
