Why they said they were late

Alight, Inc. (the “Company”) is unable to timely file with the Securities and Exchange Commission (the “SEC”) its Annual Report on Form 10-K for the year ended December 31, 2021 (the “2021 Form 10-K”). The Company requires additional time to finalize the Company’s financial statements due to a combination of factors relating to the completion of the Company’s business combination in July 2021 (the “Business Combination”), including the complexity and timing of combining with a special purpose acquisition company and the extensive and complex accounting and disclosure requirements related to the transaction. As a result, the Company is unable to file the 2021 Form 10-K by the prescribed due date without unreasonable effort or expense. While there can be no assurance, the Company anticipates that the 2021 Form 10-K will be filed as soon as practicable and in any event on or prior to the fifteenth calendar day following the prescribed due date. The Company does not expect any changes to the financial results previously reported in its earnings press release, furnished as Exhibit 99.1 to the Company’s Current Report on Form 8-K filed with the SEC on February 23, 2022

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
