Why they said they were late

The Registrant’s Form 10-K for the year ended December 31, 2021, could not be filed within the prescribed time period (on or before March 16, 2022) because of delays in the completion of managements evaluation of the Company’s internal control over financial reporting which, in turn, resulted in delays in the completion of the audit of the registrant’s financial statements by the Company’s independent registered public accounting firm. These activities require the expenditure of considerable time and resources of the Company. The delays were due primarily to staffing shortages exacerbated by the COVID-19 pandemic, including within our finance team. The Company intends to file its Annual Report on or before the prescribed due date of March 31, 2022. We anticipate that the Annual Report will contain no changes to the financial results announced in the Company’s press release furnished as Exhibit 99.1 to the Registrant’s Current Report on Form 8-K filed on March 1, 2022

The Registrant’s Form 10-K for the year ended December 31, 2020, could not be filed within the prescribed time period (on or before March 16, 2021) due to delays in compiling and reviewing certain information to be included in the Form 10-K; these delays resulted primarily from managerial and administrative employees of the Registrant working remotely because of restrictions arising from the impact of the COVID-19 pandemic. The Registrant does not expect any changes to the financial results it had previously reported in its press release furnished as Exhibit 99.1 to the Registrant’s Current Report on Form 8-K filed on March 3, 2021

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
