Why they said they were late

ENGlobal Corporation (the “Company”) is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the year ended December 28, 2024 (the “Annual Report”) by the March 28, 2025 due date or within the extended time period permitted by Rule 12b-25 as a result of the Company and its direct and indirect domestic subsidiaries filing voluntary petitions (the cases commenced thereby, the “Chapter 11 Cases”) on March 5, 2025 in the United States Bankruptcy Court for the Southern District of Texas, Houston Division (the “Court”) seeking relief under Chapter 11 of Title 11 of the United States Code. The Company is unable to pay the fees to its auditors and other professionals that are required to complete the Annual Report due to liquidity constraints. The Chapter 11 Cases have also diverted significant management time from accounting matters and related disclosures that need to be considered and evaluated in the preparation of the Annual Report. The outcome of the Chapter 11 Cases and the related sale process will determine whether and when the Annual Report (and Quarterly Reports on Form 10-Q or Annual Reports on Form 10-K for subsequent periods) will be filed, which includes the possibility that the Company will longer continue to operate as a publicly traded entity. The Company intends to file Current Reports on Form 8-K disclosing material events in the Chapter 11 Cases and other information required under Form 8-K during the pendency of the Chapter 11 Cases. 2

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record. Scores before 2026-09-27 were reconstructed from the filing history as it stood at each date, so the record is a backtest rather than years of live calls.
