Why they said they were late

ed time period. one (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2021 (the “Q1 2021 Form 10-Q”) by the prescribed filing date due to the reasons described below. As disclosed in the Company’s Current Report on Form 8-K filed with the SEC on May 14, 2021, the Audit Committee of the Board of Directors of the Company, after considering the recommendations of management, concluded that the Company’s previously issued audited financial statements as of and for the year ended December 31, 2020 should not be relied upon due to required corrections related to the accounting for the Company’s warrants. In the past, the Company has accounted for warrants as equity. However, after consideration of an April 12, 2021 statement by the Securities and Exchange Commission, the Company concluded that it has issued warrants that do not meet the conditions to be classified in equity and instead require liability classification. The Company has filed an amendment to its annual report on Form 10-K for the period ended December 31, 2020, and is working diligently to complete the Q1 2021 Form 10-Q as soon as possible; however, given the scope of the process for evaluating the impact on the Company’s financial statements of the Staff Statement on Accounting and Reporting Considerations for Warrants Issued by Special Purpose Acquisition Companies (“SPACs”) issued by the staff of the Securities and Exchange Commission on April 12, 2021, the Company is unable to complete and file the Q1 2021 Form 10-Q by the required due date of May 17, 2021 without unreasonable effort and expense. The Company does, however, expect to file such report within five calendar days thereof
