Why they said they were late

The AZEK Company Inc. (the “Company”) has determined that it is unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2024 (the “March 31, 2024 Form 10-Q”) by May 10, 2024, the original due date for such filing, without unreasonable effort or expense due to the circumstances described below. As previously disclosed in the Form 8-K filed by the Company with the Securities and Exchange Commission (the “SEC”) on May 8, 2024 (the “Form 8-K”), in connection with the preparation of its unaudited condensed consolidated financial statements for the fiscal quarter ended March 31, 2024, the Company identified certain unexplained reconciling differences in inventory balances. Upon identification of such issues, the Company initiated an independent investigation under the direction of the Audit Committee of the Company’s Board of Directors, which is substantially complete. As a result of the independent investigation procedures, the Company determined that a former employee with responsibility for cost and inventory accounting with respect to certain of the Company’s locations misstated inventory in the Company’s general ledger by creating inaccurate and unsupported manual journal entries that ultimately increased the value of inventory on the Company’s balance sheet and decreased cost of sales on the Company’s income statement as of and for the three months ended December 31, 2023 and the years ended September 30, 2023, 2022 and 2021 and prior periods. As disclosed in Form 8-K, the Company intends, as promptly as practicable, to complete and file with the Securities and Exchange Commission (the “SEC”) restated consolidated financial statements for the fiscal years ended September 30, 2023, 2022 and 2021, and the interim periods within those fiscal years, and for the three months ended December 31, 2023, and to complete and file with the SEC the March 31, 2024 Form 10-Q

About this score

reportingrisk.com scores every active US filer on three things a company tells the SEC about itself: late-filing notices on Form NT, 8-K item 4.02 (past accounts declared unreliable) and 4.01 (auditor changes). 1,012 are flagged today.

Every score is frozen and checked twelve months later. Across 91,452 of them, a company scoring 4 or more ended that year delisted, bankrupt, restated or silent 17.2% of the time, against 4.0% for a clean record.
