Jamf Holding Corp. (the “ Company ”) has determined that it is unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2021 (the “ Q2 2021 Form 10-Q ”) by the prescribed due date for the reasons described below. As disclosed in Exhibit 99.1 to the Company’s Current Report on Form 8-K, filed with the Securities and Exchange Commission (the “ SEC ”) on August 10, 2021, the Company recently identified an immaterial error related to certain commissions that were incorrectly capitalized instead of being expensed in its prior period financial statements. The Company will be correcting this error in these prior period financial statements in its future filings, including the Q2 2021 Form 10-Q. The Company is working diligently to complete the Q2 2021 Form 10-Q as soon as possible; however, given the timing of the error being identified, the Company is still completing its financial statement close process. Accordingly, the Company is unable to complete and file the Q2 2021 Form 10-Q by the required due date of August 16, 2021 without unreasonable effort and expense. The Company expects to be able to file the Q2 2021 Form 10-Q on or before the fifth calendar day following its original prescribed due date
