Discover Financial Services (the “Company”) has determined that it is unable to file, without unreasonable effort or expense, its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2024 (the “Form 10-Q”) within the prescribed time period for such report. As previously disclosed, as part of the review of the Company’s historical financial statements by the Staff of the U.S. Securities and Exchange Commission (the “Staff”) undertaken in connection with the Staff’s review of the Registration Statement on Form S-4 (the “Registration Statement”) filed by Capital One Financial Corporation (“Capital One”) in connection with the Company’s pending merger (the “Merger”) with Capital One (and the preliminary joint proxy statement/prospectus contained therein), the Staff indicated that it disagrees with certain aspects of the Company’s accounting approach for the card product misclassification matter. The Company requires additional time to file the Form 10-Q in order to address the Staff’s comments, which will likely involve implementation of the Reallocations (as defined in Part IV). The Company does not expect to file the Form 10-Q within the extension period of five calendar days permitted under Rule 12b-25 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Reallocations remain under review by the Company’s accounting staff and its independent registered public accounting firm and, once reported in the Form 10-Q, may differ from the description set forth in Part IV. The potential impact of the Reallocations on the Company’s previously filed historical financial statements is still being assessed and the Company and its independent registered accounting firm have not made any determinations as of the date of this filing with respect to whether the Reallocations will also involve any potential revisions or restatements of the Company’s previously filed historical financial statements
